Terms and Conditions for OnWing
1. General
These Terms and Conditions apply to all services provided by OnWing to the client. By engaging our services, the client agrees to be bound by these Terms and Conditions.
2. Services
OnWing provides aviation-related consulting, aircraft upgrade support, product guidance, and related services as agreed upon between OnWing and the client. Details of the specific services to be provided will be outlined in the applicable service agreement, proposal, quote, or other written communication.
3. Payment
Payment terms will be specified in the individual service agreement, quote, or invoice. Unless otherwise agreed in writing, a deposit may be required before work begins, with the remaining balance due upon completion of the agreed services or according to the payment schedule provided. Late payments may be subject to interest, late fees, or suspension of services.
4. Project Timeline and Delays
OnWing will provide an estimated timeline for services when applicable. While we make every effort to meet projected timelines, delays may occur due to circumstances beyond our control. OnWing is not liable for delays caused by third-party suppliers, manufacturers, shipping providers, client approval delays, or force majeure events.
5. Client Responsibilities
The client is responsible for providing accurate information, timely approvals, required documentation, and any other materials necessary for OnWing to perform the agreed services. Delays in providing such information or approvals may result in project delays, revised timelines, and additional costs.
6. Changes and Cancellations
Any changes to the agreed scope of work after the start of the project may result in revised pricing, timelines, or deliverables. If the client cancels a project after work has begun, the client may be responsible for payment for all work completed, commitments made, and costs incurred by OnWing up to the date of cancellation.
7. Warranty
Any warranty applicable to products, parts, or services will be limited to the terms expressly provided in writing by OnWing or the applicable manufacturer or supplier. Unless otherwise stated in writing, OnWing makes no additional warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose. Warranty coverage does not apply to damage caused by misuse, neglect, improper maintenance, accident, unauthorized modification, or third-party work.
8. Liability
To the fullest extent permitted by law, OnWing’s liability for any claim arising out of or relating to the services provided shall be limited to the amount paid by the client for the specific services giving rise to the claim. OnWing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of use, loss of revenue, loss of profits, or business interruption.
9. Intellectual Property
All materials, content, processes, methods, designs, documentation, and other intellectual property developed, created, or provided by OnWing during the course of providing services shall remain the property of OnWing unless otherwise agreed in writing.
10. Confidentiality
OnWing agrees to treat client information as confidential and will not disclose confidential information to third parties without the client’s consent, except as necessary to perform the services, comply with legal obligations, or protect OnWing’s legal rights.
11. Dispute Resolution
Any dispute arising out of or relating to these Terms and Conditions or the services provided by OnWing shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved informally, the parties agree to attempt mediation before pursuing binding arbitration or litigation, unless immediate legal action is necessary to enforce rights or obligations.
12. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the jurisdiction in which OnWing operates, without regard to conflict of law principles.
13. Amendments
OnWing reserves the right to update or amend these Terms and Conditions at any time. Any changes will become effective upon being posted on the website or otherwise communicated to the client.
14. Acceptance
By using the website, requesting information, approving a quote, or engaging OnWing for services, the client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
